Actually, SM staff found that it was related to the use of FastCGI. 

Here is SM temp fix to resolve this problem: 

If you runs Mac OSX Server version 1.2v3 & iTools. Please do not use
FastCGI module to bring up WebCatalog. We have experienced that Fast CGI
will bring up WebCtalog with 99% CPU. We are looking into it now.

> In the mean time, you can still use WebCatalog with some modifies:
>   ** Goto /Local/Library/WebServer/tenon/apache/conf/iTools.conf file,
> then delete or comment out (put # sign at begining of line) the

>   ** Put the following file in /etc/startup folder to automate bring up

Be carefull as those are instruction for OSX Server (and you may 
not find any /etc/startup in your OSX PB). I have no idea how 
you start process in PB. 

Another problem is that this DID NOT FIX MY PROBLEM. WebCatalog 
just does not run, and if launched by the WebCatalogCtl start 
script, still eat my CPU. If I find more informations about this 
issue, I'll let you know. Until then I had to disable WebCatalog.
